Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Backfields (“the Platform”), operated by Full Count LLC (“Company,” “we,” “us,” or “our”). By accessing or using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Backfields, you agree to these Terms, our Privacy Policy, and any additional terms that may apply to specific features. If you do not agree to these Terms, you may not use our Platform.

2. Description of Service

Backfields is scheduling and payments software for baseball coaches (“Coaches”) and their players and families (“Users”). Coaches share schedule links with their own players, and we provide booking and payment tools. We do not advertise coaches, provide public profiles, or act as a party to agreements between Coaches and Users.

3. Eligibility and Account Registration

3.1 Age Requirements

  • You must be at least 18 years old to create an account
  • Accounts are for adults only; minors may not create accounts
  • Coaches must be at least 18 years old to offer lessons or camps
  • Adults may add dependents for scheduling and must provide the dependent's first and last name and date of birth

3.2 Account Responsibilities

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

4. Coach Terms

4.1 Scheduling & Schedule Links

Coaches are responsible for maintaining accurate schedules and schedule links for lessons and camps. We reserve the right to remove schedule pages that violate these Terms.

4.2 Coach Responsibilities

  • Provide accurate descriptions of services, pricing, and availability
  • Maintain appropriate insurance and certifications as required by law
  • Conduct lessons and camps safely and professionally
  • Comply with all applicable laws, including those related to working with minors
  • Respond promptly to bookings and communications

4.3 Stripe Connect

Coaches must set up a Stripe Connect account to receive payments. By doing so, you agree to Stripe's Connected Account Agreement.

5. Booking and Payments

5.1 Payment Processing

All payments are processed through Stripe using direct charges to the Coach's connected Stripe account. By making a payment, you agree to Stripe's terms and authorize us to charge your payment method for the total amount of your booking, including any applicable platform fees.

5.2 Platform Fees

We charge a platform fee on each transaction to cover payment processing and platform costs. Current fee rates are disclosed on a Coach's dashboard.

5.3 Cancellation and Refunds

  • Users may cancel and receive a full refund if canceled at least 24 hours before the scheduled lesson or camp start time
  • Cancellations by Users within 24 hours of the scheduled start time are not eligible for automatic refunds
  • Coaches may issue refunds at any time at their discretion, regardless of the cancellation window
  • Refunds are processed to the original payment method and typically arrive within 5-10 business days

5.4 Dispute Resolution Between Users and Coaches

In the event of a dispute regarding a booking, refund, or service quality, Users and Coaches are encouraged to resolve the matter directly. Contact information for both parties is available within the Platform's booking management interface. The Platform is not a party to agreements between Users and Coaches and does not arbitrate disputes.

5.5 Platform-Initiated Refunds

In exceptional circumstances, such as verified fraud, repeated policy violations, or failure to provide booked services, the Platform reserves the right to issue refunds on behalf of Coaches. By using the Platform and connecting a Stripe account, Coaches authorize the Platform to initiate refunds from their connected Stripe account when deemed necessary to protect the integrity of the Platform. Such refunds are issued at the Platform's sole discretion and are considered a last resort after other resolution methods have been exhausted.

6. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Post false, misleading, or fraudulent content
  • Harass, threaten, or intimidate other users
  • Circumvent our payment system or attempt to arrange payments outside the Platform
  • Upload harmful code, viruses, or malicious content
  • Scrape, copy, or collect data from the Platform without authorization
  • Impersonate another person or entity
  • Use the Platform for any unlawful purpose

7. Content and Intellectual Property

7.1 User Content

You retain ownership of content you post (schedule pages, photos, updates). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content on our Platform.

7.2 Platform Content

The Backfields name, logo, and Platform design are our property. You may not use our trademarks or copy our Platform without permission.

8. Safety and Liability

8.1 Independent Providers

Coaches offering lessons or camps operate independently. We do not vet or verify coaches, and we cannot guarantee the quality, safety, or legality of any lesson or camp. Parents and guardians are responsible for evaluating coaches and supervising their children's participation as appropriate.

8.2 Assumption of Risk

Baseball training and sports activities involve inherent risks of injury. By participating in lessons or camps booked through our Platform, you acknowledge and assume these risks.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKFIELDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Indemnification

You agree to indemnify and hold harmless Full Count LLC (d/b/a Backfields) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us first to attempt to resolve the matter informally.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Backfields
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms; we may assign them freely
